Prestashop acquired by Cyber_Pixel to create a European open-source eCommerce giant

However, this significant transaction that has just shaken the world of eCommerce is more intricate than it might initially appear. Let us provide some context. The Polish technology company Cyber_Folks is building an eCommerce giant by acquiring 100% of the French company PrestaShop and, simultaneously, 100% of the Polish company Sylius and its partner BitBag.

To execute this consolidation, Cyber_Folks is utilizing a new holding entity called Cyber_Pixel, in which it holds the majority stake (79%), and which will directly own PrestaShop, Sylius, and BitBag. The complexity lies in the fact that the founders of Sylius have become minority partners in Cyber_Pixel (with a 21% stake) by exchanging their previous shares of Sylius for an interest in this new joint company, thus ensuring their continued involvement in the management of the unified ecosystem, which is valued at approximately 55 million euros for PrestaShop alone.

Here is some additional context on the parties involved in this complex transaction: Sylius is an open-source, headless eCommerce platform; Cyber_Folks is a technology company offering hosting services; and BitBag is a software company specialized in customized eCommerce solutions.

On his personal LinkedIn profile, Jorge González Marcos, ex Head of Iberia and Latam at PrestaShop, has explained the significant implications of this transaction. On one hand, he emphasized the importance of joining a technology company based on open source such as Sylius. On the other, he noted that the merger of the agency ecosystems of PrestaShop and Sylius will generate new synergies and open the possibility of engaging in larger projects. Additionally, this development will provide PrestaShop with greater financial strength.

Jakub Dwernicki, CEO and founder of Cyber_Folks, has triumphantly stated that, “Europe has just gained a new leader.” Dwernicki outlined the advantages of having acquired PrestaShop together with Sylius, both for his own company and for the wider market. “Together with Sylius, we have signed agreements to acquire PrestaShop, one of the largest open-source eCommerce platforms in the world. This marks a moment that firmly places us in the top tier of global eCommerce technology providers.

For years, we have been developing our expertise, teams, products, and market reach. Today, we are combining this with the strength of PrestaShop and the technological excellence of Sylius, making the Cyber_Folks Group the most comprehensive European technology ecosystem for eCommerce.

Why does this represent progress for the market? Because we are bringing together three worlds that until now have operated separately (SaaS (Shoper), open source (PrestaShop), and headless and composable (Sylius)), creating a growth path for every merchant, from micro-enterprises to global marketplaces, with seamless migrations between solutions, fully integrated systems, and AI-powered support. This investment also opens a massive and addressable market for all SaaS products within our Group.”

For its part, Sylius has announced the news on its own LinkedIn account, expressing its enthusiasm for this new chapter in its history and highlighting its values of transparency. “By joining forces with Cyber_Folks, one of the largest digital groups in Europe, which manages companies such as Shoper, Apilo, Vercom, SellRocket, and MailerLite, we are bringing together two leading open-source commerce platforms that have grown in parallel over the years. Built on PHP and Symfony, operating in the same markets but serving different segments.

PrestaShop empowers small and medium-sized businesses. Sylius focuses on mid-market and enterprise commerce. Together, we now support more than 240,000 stores generating over 31 billion euros in annual GMV. This scale positions European open-source technologies not only as market leaders locally, but also as truly competitive players on a global level.”
